THE NEW ERA OF LEADERSHIP AWARDS

PARTICIPATION IN THIS COMPETITION CONSTITUTES PARTICIPANT ACCEPTANCE OF THESE TERMS AND CONDITIONS. VOID WHERE PROHIBITED.

The New Era of Leadership Awards (the “Awards”) is a skills competition; chance will play no part in determining the recipients of the Awards. The submissions will be evaluated by a panel of judges with the intention of identifying award recipients in accordance with these Terms. These awards, organized by Project 1972, Inc. (“Promoter”), are open to senior executive women or companies based in the United States. See below for the complete details.

  1. BINDING AGREEMENT: In order to participate in the Awards, you must agree to these Terms and Conditions (“Terms”). Therefore, please read these Terms prior to submission to ensure you understand and agree. By uploading a submission in the Awards (a “Submission”), Participants agree to these Terms. Participants may not upload a Submission to the Awards and will not be considered for any award described in these Terms unless they agree to these Terms. These Terms form a binding legal agreement between Participants and Promoter with respect to the Awards.
  1. PROMOTER: The Awards are provided by Promoter with offices at 315 Park Avenue South, 6th Floor. New York, NY 10010.
  1. ELIGIBILITY: To be eligible to participate in the Awards, you (“Participant”) must: (a) be at least eighteen (18) years old with residence or work primarily based in the United States; (b) of legal age to form a binding contract or that you have reviewed the Agreement with your parent or legal guardian and he or she agrees to the Agreement on your behalf; (c) for individual Participants, eligibility is limited to executives who identify as a woman, transgender, nonbinary, and gender nonconfirming based in the United States who hold a VP or C-Suite title within their respective organizations; (d) for company Participants, eligibility is limited to public or private organizations whose work is primarily based in the United States; and (e) not a person barred from using Services under the laws of the United States, your place of residence or any other applicable jurisdiction. By participating in the Awards, you agree that you meet all of the eligibility requirements set forth in this Section and the Agreement. Promoter reserves the right to verify eligibility and to adjudicate on any dispute at any time.
  1. ENTRY REQUIREMENTS: There are no entry fees for participation, and no purchase or membership is required to enter or participate. 
  1. AWARDS SUBMISSION PERIOD: The Awards submission period commences on March 5, 2024 and concludes on March 31, 2024. Promoter reserves the right to modify dates as needed.
  1. PARTICIPATION: To participate, individuals must share influential achievements and evidence of impact made by an executive (“Executive”) or a business (“Company”) achieving a major milestone between January 1, 2023, and December 31, 2023. Examples of major milestones include: debuting a product, achieving or surpassing an important business goal, winning a major industry accolade, securing an important partnership, making a big announcement, etc.
  1. SUBMISSION REQUIREMENTS: Submissions must adhere to Promoter’s guidelines, ensuring they are not offensive, unlawful, or in violation of intellectual property rights. Participants grant Promoter a license to use Submissions for evaluation and promotional purposes. Each Submission must also meet the following criteria:
    1. It must not be derogatory, offensive, threatening, defamatory, disparaging, libelous, or contain any content that is inappropriate, indecent, sexual, profane, tortious, slanderous, discriminatory in any way, or that promotes hatred or harm against any group or person, or otherwise does not comply with the theme and spirit of the Awards.
    2. It must not contain content, material, or any element that is unlawful, or otherwise in violation of or contrary to any applicable federal, state, provincial or local laws and regulations in any state, province or other jurisdiction where Submission is created.
    3. It must not contain any content (excluding Promoter’s content as required herein), material or element that displays any third party influencer, advertising, slogans, logos, trademarks, or which indicates a sponsorship or endorsement by a third party or commercial entity or that is not within the spirit of the Awards, as determined by Promoter, in its sole discretion.
    4. It cannot contain any content, element or material that violates a third party’s publicity, privacy, non-disclosure/confidentiality, or intellectual property rights.
    5. Submission must not have won any previous award that may be in conflict with this Awards, and must not infringe upon the copyrights, trademarks, rights of privacy, publicity or other intellectual property or other rights of any person or entity. By posting a Submission, Participant warrants and represents that they consent to the Submission and use of the Submission in the Awards and to its use as otherwise set forth herein.
    6. Promoter reserves the right, in its sole discretion, to disqualify any Participant who submits a Submission that does not meet the Submission Requirements as determined by Promoter. By entering a Submission, Participant hereby grants permission for the Submission to be shared on any websites owned or controlled by Promoter, any social media channels of Promoter (including but not limited to, Facebook, Twitter and Instagram) or other websites. Participant agrees that Award Entities are not responsible for any unauthorized use of Submissions by third parties. Award Entities do not guarantee the posting of any Submission.
  1. DETERMINATION OF AWARD RECIPIENTS: All eligible Submissions received by Promoter will be reviewed and considered by members of Promoter’s panel of judges, which includes a subset of executives, based on a variety of factors which may include, without limitation:(i) relevance—do they meaningfully address current challenges and opportunities; (ii) impact—what results or achievements can be attributed to their work; (iii) innovation—what sets your company apart from others in its industry; (iv) leadership—if other companies are following in your company’s footsteps; (v) ambition—how compelling are the goals your company has set for itself; (vi) success—how well your initiative or company is serving its intended purpose; and other factors determined by Promoter in its sole discretion to identify up to one hundred (100) recipients to be eligible to receive the award below from Promoter (each, a “Recipient”). Promoter, or its designees, shall have the right to conduct telephone or web interviews with potential Recipients to assist them in identifying the award Recipients, and potential Recipients agree to be reasonably available for such interviews and understand that such interviews may be recorded by Promoter or its designee and used by Promoter in connection with the Awards without further compensation, approval or notice. Potential Recipients will be notified by telephone, mail and/or email. The provision of any award is subject to verification of eligibility and compliance with these Terms. Promoter reserves the right not to provide any awards (or fewer than the quantity of awards identified above) if, in its sole discretion, there are not a sufficient number of eligible and qualified Submissions received. Participants acknowledge that judging of this kind is by its nature subjective.
    1. Beginning on or about April 8, 2024, potential Recipients will be notified via mail, email and/or phone. If a potential Recipient does not respond to the notification attempt within forty-eight (48) hours from the notification attempt, then such potential Recipient may be disqualified. Potential Recipients may be required to sign and return a Declaration of Eligibility and Liability and Publicity Release and provide any additional information, such as that referenced in section 9 below, that may be required by Promoter. Potential Recipient must return all such required documents within five (5) days following attempted notification or such potential Recipient will be deemed to have forfeited the award. All notification requirements, as well as other requirements within these Terms, will be strictly enforced. Determinations of judges are final and binding.
  1. NO OBLIGATION TO USE: Promoter shall not have any obligation (express or implied) to use any Submission, or to otherwise exploit any Submission or, if commenced, to continue the distribution or exploitation thereof, and Promoter may at any time abandon the use of any Submission for any reason, with or without legal justification or excuse, and Participants shall not be entitled to any damages or other relief by reason thereof.
  1. FURTHER DOCUMENTATION: If Promoter shall desire to secure additional assignments or certificates of engagement for a Submission or other documents as Promoter may reasonably require in order to effectuate the purposes and intents of these Terms, then each Participant agrees to sign the same upon Promoter’s request therefore.
  1. RIGHT TO CANCEL, MODIFY OR DISQUALIFY: Promoter reserves the right to disqualify Participants and modify or terminate the Awards for various reasons, including technical issues or incomplete submissions.  Any false or incorrect information, including but not limited to identity, age, mailing address, telephone number, email address, ownership of right, or misrepresentation of the Participant’s body of work, title, product, or initiative highlighted in the submission, provided within the context of the Awards by any Participant may result in the immediate elimination of the Participant from the Awards. Non-compliance with these Terms in any form will be grounds for disqualification.
  1. INTELLECTUAL PROPERTY: Participants retain ownership of intellectual property rights in their Submissions, granting Promoter a license to use Submissions for evaluation and promotional purposes.
  1. PRIVACY: Participants acknowledge Promoter may collect, store, and use personally identifiable information in accordance with its privacy policy. Participants are encouraged to review Promoter’s privacy policy available at Chief Privacy Policy.
  1. PUBLICITY: Participants agree to Promoter’s use of their name, likeness, and Submission for advertising and promotional purposes.
  1. WARRANTY AND INDEMNITY: Participants indemnify Promoter against any liability arising from their act, default, or breach of representation.
  1. LIMITATION OF LIABILITY: Promoter is not responsible for technical failures or any loss, damage, or delay in Submissions.
  1. GOVERNING LAW: The Agreement and any action related thereto will be governed and interpreted by and under the laws of the State of New York, consistent with the Federal Arbitration Act, without giving effect to any principles that provide for the application of the law of another jurisdiction. The United Nations Convention on Contracts for the International Sale of Goods does not apply to the Agreement.
  1. DISPUTES: By entering the Awards, Participant agrees that all disputes between Participant and Promoter of whatsoever kind or nature arising out of these Terms, shall be subject to Promoter’s standard Terms of Service available at https://chief.com/terms-of-service

By participating in Promoter’s The New Era of Leadership Awards, Participants agree to abide by these terms and conditions.
